Terms of Service for Thorin AI

Welcome to Thorin AI. These Terms of Service ("Terms") govern your access to and use of the services, software, and websites (collectively, the "Service") provided by Thorin AI ("Thorin AI," "we," "us," or "our").

By creating an account, or by accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms.

1. Description of Service

Thorin AI provides a platform that automates business processes by analyzing real-time communication data, such as emails, linked by the user to the Service. Our goal is to streamline workflows and increase efficiency for businesses.

2. Eligibility and Account Registration

The Service is intended solely for business users. You must be at least 18 years of age to use the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Fees and Payment

Our Service is offered on a subscription basis. Subscription fees are billed in advance on a recurring basis as specified at the time of purchase. All fees are non-refundable except as required by law or as otherwise determined by us in our sole discretion. We reserve the right to change our subscription fees upon 30 days' notice.

4. User Data and Content

a. Your Ownership:

You retain all ownership rights to the data, information, and content you submit to the Service, including emails and associated data ("User Content").

b. Limited License to Us:

By using the Service, you grant Thorin AI a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and process User Content solely for the purpose of operating, providing, improving, and developing the Service.

c. Confidentiality:

We treat your User Content as confidential information. Our access to and use of your User Content is governed by our Privacy Policy.

5. Acceptable Use Policy

You agree not to misuse the Service. You will not, and will not permit any third party to:

• Use the Service for any illegal or unauthorized purpose, including spamming, phishing, or spreading malware.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
• Interfere with or disrupt the integrity or performance of the Service or its components.
• Resell, rent, or lease the Service.
• Use the Service to store or transmit any content that infringes upon any person's intellectual property rights.

6. Term and Termination

These Terms will remain in effect until your subscription expires or is terminated. You may terminate your account at any time through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, if we believe you have violated these Terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THORIN AI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, USE OR CONTENT) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT, WARRANTY, NEGLIGENCE OR OTHERWISE, EVEN IF THORIN AI HAS BEEN ADVISED AS TO THE POSSIBILITY OF SUCH DAMAGES.

9. Dispute Resolution, Arbitration, and Class Action Waiver

a. Arbitration:

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Wilmington, Delaware, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS").

b. Class Action Waiver:

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class action-basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

10. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws provisions.

11. Enterprise Agreements

If you have entered into a separate enterprise agreement with Thorin AI, the terms of that agreement will supersede any conflicting provisions in these Terms.

12. Optional Mobile Messaging

Thorin AI may interact with you through optional mobile messaging if you provide a mobile phone number and separately opt in. Mobile messaging is not enabled by default, and consent is not a condition of purchase or use of the Service.

Mobile messages may include account alerts, security notices, reminders, task updates, workflow status updates, requested assistant responses, and other service-related messages. Message frequency varies based on your account activity, settings, and preferences. Message and data rates may apply.

You can manage mobile messaging in your account settings by enabling or disabling it or removing your mobile phone number. Thorin currently delivers SMS messages through toll-free SMS providers, including Twilio or Linq. Standard toll-free SMS provider and carrier handling applies: replying STOP unsubscribes at the provider or carrier level, and replying START or UNSTOP resubscribes where supported. You may also opt out by replying UNSUBSCRIBE, END, QUIT, STOPALL, CANCEL, REVOKE, OPTOUT, or another supported opt-out keyword to any Thorin AI mobile message. After you opt out, we may send one final confirmation message. You may also reply DISABLE to pause personal agent SMS notifications or ENABLE in all caps to resume them without changing your provider-level opt-out status. You may get help by replying HELP or emailing support@thorin.com. Carriers are not liable for any delayed or undelivered messages. Your mobile messaging information is handled as described in our Privacy Policy.

13. Changes to Terms

We may modify these Terms from time to time. We will post the most current version on our website. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
